Terms and Conditions

1. Parties

These terms are between Estia Distribution Ltd (“we”, “us”) and the registered business customer (“you”). They apply to all orders placed through the platform.

2. Account Registration

Accounts are available to UK-registered business customers only. New registrations are subject to approval and may require proof of business (company registration, VAT number, or food business registration). We may decline or revoke access at our discretion.

3. Orders and Acceptance

Orders placed through the platform are offers to purchase. An order is only accepted when we issue a confirmation. We reserve the right to decline or cancel any order, including for suspected fraud, stock unavailability, or credit concerns.

4. Pricing

All prices shown on the platform are exclusive of VAT unless stated otherwise. VAT is added at the applicable UK rate at checkout. Prices are subject to change with reasonable notice; confirmed orders are honoured at the confirmed price.

5. Payment Terms

Payment terms are set per customer group (B2B Standard, Net 7, Net 15, etc.) and shown on each invoice. Credit customers must maintain an active Direct Debit mandate; mandate failure reverts the account to payment-in-advance. Late payment is subject to statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 plus fixed compensation (£40 / £70 / £100 depending on invoice value).

6. Minimum Order Value

The minimum order value is [PLACEHOLDER - REVIEW BEFORE GO-LIVE] MOV amount excluding VAT. Orders below the MOV are rejected at checkout.

7. Delivery

Delivery days, cutoff times, and windows are shown per customer/route. Failed deliveries (no-one available to receive the goods, incorrect address, or refusal of a valid delivery) may be re-booked at an additional delivery charge.

8. Returns and Credits

Claims for short deliveries, damaged goods, or quality issues must be notified within 24 hours of delivery. Accepted returns are credited to your account within 5 working days of the goods being received back at our warehouse.

9. Product Information

We provide allergen and country-of-origin information in good faith, derived from supplier declarations. You remain responsible for confirming suitability for your own food safety and allergen management obligations (e.g. Natasha’s Law compliance for your own labelling).

10. Intellectual Property

The platform, its design, code, and content are owned by Estia Distribution Ltd. No copying, reverse-engineering, scraping, or redistribution is permitted without written consent.

11. Limitation of Liability

Nothing in these terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited under English law. Subject to that, our total liability for any claim arising out of or in connection with the platform is limited to the total invoiced value in the 12 months preceding the claim.

12. Governing Law

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from or in connection with these terms.

13. Changes to Terms

We may update these terms with 30 days’ notice for material changes. Continued use of the platform after the change takes effect is acceptance of the updated terms.
